Terms & Conditions

These Terms & Conditions (“Terms”) apply to all contracts for the supply of goods and related services by the relevant Japan Food Express contracting entity.

1. Contracting Entities

These Terms apply to contracts entered into with:

  • Japan Food Express Ltd, registered in England and Wales, or

  • Japan Food Express GmbH, registered in Germany,

as specified in the relevant quotation, order confirmation, or invoice.

The contracting entity shall be identified in writing prior to acceptance of any order.

2. Application

2.1 These Terms apply to all supplies of goods and services.
2.2 They prevail over any terms proposed by the Customer unless agreed in writing.

3. Orders and Contract Formation

3.1 All quotations are non-binding unless expressly stated otherwise.
3.2 A contract is formed only when the relevant contracting entity issues written confirmation or an invoice.
3.3 Verbal agreements are not binding unless confirmed in writing.

4. Products

4.1 We supply Japanese and oriental food products and related logistics services.
4.2 Product descriptions are for general guidance only.
4.3 We reserve the right to substitute or withdraw products where necessary.

5. Pricing and Payment

5.1 Pricing and payment terms shall be agreed in writing prior to order acceptance.

5.2 Unless otherwise agreed:

  • Contracts with Japan Food Express Ltd are payable in GBP.

  • Contracts with Japan Food Express GmbH are payable in EUR.

5.3 The payment period shall be as specified in the invoice.

5.4 The relevant contracting entity reserves the right to suspend deliveries in case of late payment.

5.5 We reserve the right to correct clerical or administrative errors.

6. VAT and Tax Treatment

6.1 VAT treatment shall be determined according to the laws applicable to the relevant contracting entity and place of supply.

6.2 Customers must provide valid VAT identification numbers where applicable.

6.3 Intra-EU supplies may be subject to reverse charge mechanisms in accordance with EU VAT regulations.

7. Delivery and Risk

7.1 Delivery dates are estimates only and not guaranteed.

7.2 Risk in goods passes upon delivery to the agreed location.

7.3 The Customer must inspect goods upon receipt and notify the relevant contracting entity within 48 hours of:

  • Damage

  • Shortages

  • Incorrect items

Failure to notify within this period may limit remedies.

8. Retention of Title

8.1 Legal title to goods remains with the relevant contracting entity until full payment is received.

8.2 Until title passes, the Customer shall:

  • Store goods separately and identifiable

  • Maintain goods in saleable condition

  • Not pledge or create any security interest over the goods

9. Product Safety and Allergens

9.1 Food products may contain allergens.

9.2 Customers are responsible for reviewing product documentation and allergen information prior to use or resale.

9.3 We shall not be liable for allergic reactions where correct product information has been provided.

10. Force Majeure

Neither contracting entity shall be liable for delay or failure to perform obligations due to events beyond reasonable control, including but not limited to:

  • Transport disruption

  • Customs delays

  • Supplier shortages

  • Industrial action

  • Natural disasters

11. Limitation of Liability

11.1 To the fullest extent permitted by law, liability is limited to the value of the goods supplied under the relevant contract.

11.2 Indirect, incidental, or consequential losses (including loss of profit or business interruption) are excluded.

11.3 Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence

  • Fraud

  • Mandatory statutory rights

12. Confidentiality

Each party shall keep confidential any non-public commercial information received from the other party.

13. Governing Law and Jurisdiction

13.1 Contracts with Japan Food Express Ltd are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.

13.2 Contracts with Japan Food Express GmbH are governed by the laws of Germany and subject to the exclusive jurisdiction of the German courts.

14. Amendments

We reserve the right to amend these Terms at any time. The latest version will be available on our website and shall apply to all orders placed after the date of publication.
